Clear and transparent information
These Terms form a binding agreement between the customer and VyapaariDesk for access to the software, website, mobile experiences, support, and related services.
1. Acceptance and eligibility
By creating an account, starting a trial, purchasing a subscription, inviting a team member, or using VyapaariDesk, you confirm that you can enter into a binding agreement and accept these Terms. If you use the service for a business, you represent that you are authorised to bind that business.
2. Account registration and security
You must provide accurate registration and business information, protect passwords and one-time passwords, restrict access to authorised users, and promptly report suspected unauthorised access. Activity completed through your account is treated as authorised until you notify us and we can reasonably secure the account.
3. Subscription, trial, renewal and taxes
Features and limits depend on the active plan. Trial access may be limited or withdrawn. Paid access begins after successful activation and ends on the displayed expiry date unless renewed. Prices may exclude applicable taxes unless stated otherwise. Failed, reversed, or disputed payments may suspend access.
4. Permitted use
You may use VyapaariDesk for lawful billing, inventory, customer, supplier, payment, reporting, and related business operations. You may not probe security, bypass plan limits, introduce malware, scrape the service at scale, resell access without permission, impersonate another person, or use the platform for unlawful, deceptive, or abusive activity.
5. Business records and compliance
You control the invoices, tax details, product data, customer data, payment entries, reports, and other records entered into the platform. You must review their accuracy and comply with GST, accounting, consumer, privacy, e-way bill, and other laws applicable to your business. VyapaariDesk is a software tool and does not replace legal, tax, or accounting advice.
6. Customer data and permissions
You retain ownership of your business data. You grant VyapaariDesk a limited right to host, process, transmit, back up, and display that data only as needed to operate, secure, support, and improve the service. You are responsible for obtaining lawful permission before adding personal information about customers, suppliers, employees, or other individuals.
7. Third-party services
Payment gateways, email, SMS, WhatsApp, Firebase, GST lookup, hosting, analytics, and other integrations may be provided by third parties under their own terms. Their availability, delivery, pricing, and security are not fully controlled by VyapaariDesk. We may change or discontinue an integration when required for reliability or compliance.
8. Intellectual property
VyapaariDesk and its software, design, documentation, trademarks, and original content remain owned by VyapaariDesk or its licensors. Your subscription gives you a limited, non-exclusive, non-transferable right to use the service during the active term. Feedback may be used to improve the product without transferring ownership of your confidential business data.
9. Availability, maintenance and changes
We aim to provide a reliable service but do not promise uninterrupted availability. Maintenance, upgrades, internet failures, third-party outages, security events, or circumstances beyond reasonable control may affect access. Features may be added, changed, or retired while we seek to preserve core paid functionality and provide reasonable notice for material changes.
10. Suspension and termination
We may restrict or suspend access for non-payment, security risk, misuse, legal requirements, or material breach. You may stop using the service at any time. On expiry or termination, access may be limited and data may later be deleted according to our retention practices and legal obligations. Contact support promptly if you need an available export.
11. Disclaimers and limitation of liability
The service is provided on an as-available basis to the extent permitted by law. VyapaariDesk is not responsible for business decisions, tax filings, lost profits, indirect damages, or losses caused by inaccurate customer-entered data or third-party services. Any aggregate liability will not exceed the fees paid for the affected service during the preceding twelve months, except where applicable law does not permit that limitation.
12. Governing law, notices and contact
These Terms are governed by the laws of India. Parties should first attempt to resolve disputes in good faith through written support communication. Legal notices may be sent to the registered account email or published with an effective date on this page. Questions may be submitted through the official Contact page.

Can access stop exactly on the plan expiry date?
Yes. Access and plan-gated features may be restricted on the expiry date shown in the account unless the plan is renewed.
